Job Description:
1) Legal Associate, M&A and Capital Market
Responsibilities:
- Handle cross-border M&A, deals restructuring for acquisitions, investments, divestments, IPOs, and FDI ventures of significant value.
- Competency and multi-tasking capability to be tasked with M&A projects in a fast-track environment. Able to demonstrate working knowledge of contract and fiduciary duties law, federal securities law, corporate finance, secured lending, tax, environmental law, employment and labor law, executive compensation and benefits, real estate, antitrust, intellectual property, anti-corruption, and commercial law will be an added advantage.
- Capable of conducting legal due diligence for corporate exercises such as IPOs, delisting, take-over and mergers exercises, and issuance of securities by publicly listed companies.
- Advising and acting for the clients’ target companies for sale, ensuring that corporate formalities have been duly adhered to, third-party vendor and supplier relationships are appropriately formalized and identifying, and if possible, taking steps to mitigate areas of potential risk.
- Responsible for advising clients in connection with the commercial contracts/ agreements on all matters, including the share sale and purchase agreement for the disposal and acquisition of the shares of a target company, joint ventures, and consortium agreements.

2) Legal Associate, Commercial TMT and Fintech
Responsibilities:
- Lead and manage transactional legal work, including drafting and reviewing complex contracts and agreements.
- Provide legal support and guidance on M&A transactions, including due diligence, deal structuring, and contract negotiations.
- Oversee project management to ensure timely and successful completion of legal transactions.
- Liaise with clients, stakeholders, and external counsel to advise on legal strategies and compliance.
- Offer insight and guidance on Fintech and TMT regulatory issues, particularly in relation to emerging technologies and digital assets.

3) Legal Associate, Corporate Real Estate / Banking & Finance
Responsibilities:
- Involve in drafting, reviewing, commenting a wide range of corporate and commercial agreements, sale and purchase agreement.
- Provide legal advice on real estate matters, including acquisitions, dispositions, leasing, loans.
- Involve in drafting / reviewing board resolutions, minutes, and other corporate governance documents.
- Act as a direct support role to partners, involving strategic discussions and firm’s business development related matters.
- Collaborate with colleagues and ensure timely reporting to partners.
- Work with minimum supervision.
- Be prompt in responding to client inquiries and proactive in providing updates on case progress.


Qualifications and Requirements:
1) Legal Associate, M&A and Capital Market
Requirements:
- Qualified lawyer with at least 2-4 years of post-qualification experience (PQE).
- Possesses practical knowledge on general corporate and commercial matters, mergers and acquisitions and capital markets.
- An analytical thinker with strong conceptual and research skills and with a high level of accountability and responsibility.
- A personality with optimistic attitude, strong leadership and high social proficiency skill will be an added advantage.
- Able to lead and work independently with a high degree of professionalism and integrity.

2) Legal Associate, Commercial TMT and Fintech
Requirements:
- Qualified lawyer with 2-5 years of post-qualification experience (PQE) in corporate/transactional law.
- Strong experience in drafting and negotiating commercial contracts, managing M&A transactions, and handling general corporate legal work.
- Demonstrated project management skills
- Experience in Fintech and TMT regulatory matters is an added advantage.
- Excellent communication and interpersonal skills.
- Ability to work independently while being a team player in a fast-paced environment.

3) Legal Associate, Corporate Real Estate / Banking & Finance
Requirements:
- Degree in Law with a valid Malaysian Bar Practising Certificate and a minimum of 5-7 years PQE in corporate and commercial law, with a strong focus on company law and real estate matters.
- Extensive experience in drafting, reviewing, commenting a wide range of corporate and commercial agreements, with a particular focus on transactions involving company law and real estate assets.
- Able to provide legal advice on corporate real estate matters, including acquisitions, dispositions, leasing, development. Experience in corporate banking is a plus.
- Experience in drafting / reviewing board resolutions, minutes, and other corporate governance documents.
- Possess experience in leadership roles - guided and mentored teams, including both junior associates and senior executives
- Understand financial aspects related to real estate transactions, including financing and security documentation is an advantage.
