Associate, Capital Market:
We are seeking a diligent and detail-oriented Legal Associate to join our Capital Markets team, specialising in initial public offerings (IPOs). The role primarily involves conducting comprehensive legal due diligence on prospective issuers, identifying legal risks, and ensuring regulatory compliance with Bursa Malaysia and Securities Commission requirements. The candidate will support the preparation of key IPO documentation, including prospectuses, legal opinions, and submissions, and liaise with clients, underwriters, and regulatory authorities throughout the IPO process.
Key Responsibilities:
(1) Conduct in-depth legal due diligence on IPO candidates, including review of corporate, commercial, litigation, and regulatory matters.
(2) Draft, review, and revise key transactional documents including due diligence reports, legal sections of the prospectus, and board resolutions.
(3) Advise clients on regulatory requirements and compliance issues under Malaysian capital markets laws.
(4) Coordinate with regulators (e.g., SC, Bursa) and professional advisers (e.g., reporting accountants, underwriters) throughout the IPO process.
(5) Support senior lawyers in structuring and executing IPO transactions.

We are looking for a driven Legal Associate to join our Banking & Finance practice, with a focus on debt capital market transactions including bonds, sukuk, and structured financing. The role involves conducting legal due diligence, drafting and negotiating financing documentation, and advising on regulatory compliance under Malaysian securities and banking laws.
Key Responsibilities:
(1) Conduct legal due diligence on issuers and transaction parties for bond and sukuk issuances.
(2) Draft, review, and negotiate financing documents including trust deeds, subscription agreements, facility agreements, and security documents.
(3) Advise on regulatory and Shariah compliance issues related to debt offerings.
(4) Liaise with clients, arrangers, trustees, and regulatory authorities throughout the transaction lifecycle.
(5) Support deal execution from structuring to financial close.

(4) Meticulous, organised, and able to manage tight timelines.
