Job Description:
This role is ideal for an ambitious, newly qualified lawyer seeking hands-on experience in complex corporate matters. You will work under the direct guidance of a Senior Lawyer to fulfill the following duties:
1. Corporate Transactions Support: Assist the Senior Lawyer in providing legal advisory on corporate transactions, including M&As, IPOs, and corporate restructuring.
2. Documentation & Review: Draft, review, and organize key corporate documentation, such as share sale agreements, shareholder agreements, and prospectus-related documents.
3. Due Diligence: Participate in and actively support the legal due diligence process for corporate exercises, compiling documentation and preparing initial reports.
4. Regulatory Compliance: Assist the team in ensuring compliance with Malaysia's legal framework, including the Companies Act 2016, Capital Markets & Services Act 2007, SC Guidelines and Bursa Malaysia Listing Requirements.
5. Regulatory Liaison: Prepare documents and coordinate efforts for liaising with the Securities Commission Malaysia (SC), Bursa Malaysia, Bank Negara Malaysia (BNM), and other regulatory bodies.
6. Risk Mitigation: Conduct legal research to help identify potential legal risks and support the team in recommending mitigation strategies.

Qualifications and Requirements:
1. Education: Bachelor of Laws (LLB) degree from a recognized university.
2. Legal Standing: Admitted to the Malaysian Bar as an Advocate & Solicitor.
3. Experience: A minimum of 1 year's post-qualification experience (PQE), preferably with initial exposure to corporate, commercial, or capital market matters.
Key Expertise
1. Framework Knowledge: Strong working understanding of Malaysia's corporate legal framework (Companies Act, CMSA, etc.) and basic familiarity with international business regulations.
2. Transaction Exposure: Experience assisting or contributing to M&A, IPOs, or corporate restructuring exercises.
3. Core Skills: Excellent legal drafting and communication skills, with a willingness to learn and develop negotiation capabilities.
4. Work Ethic: Highly motivated, detail-oriented, and able to work effectively as part of a team.
